NEWEUROPE™ Corporation (NEC) has an investment and development plan for certain Bosnia's private companies and firms. Our President, Drazen E. Premate, has over 20 years of experience dealing with this and the other regions of the Balkans that were affected by the recent war.
Our plan for Bosnia, as it is for other countries that made up the former Yugoslavia as well as some other countries in Eastern Europe, is to help financially with investments in small and medium size businesses and private firms. It is the small and the medium size businesses that hold the future of a better life and economy in Bosnia and we want to assist them and their projects directly. Here is our specific investment plan for Bosnia and we welcome your support in our efforts to accomplish it via our NEWEUROPE™ Country related Funds Program:
CREATE NEWEUROPE BOSNIA FUND USA SUBSIDIARY: NEC plans to set up a U.S. and/or UK subsidiary called NEWEUROPE™ Bosnia Fund (NEBF) which will be either spun off from Parent NEC as a publicly traded company once NEC is public or reverse merged with a shell to become public. NEC will sell Common Stock in NEBF to investors in the U.S. Such investors are expected also to be Bosnians living in the U.S. plus other investors and firms interested in investing Bosnia. NEWEUROPE™ Bosnia Fund will then invest these equity funds in 50-100 private firms in Bosnia with the most promising projects and future for equity in these firms or projects or for loan return with interest or and ROI as related to revenues.
CREATE NEWEUROPE™ BOSNIA SUBSIDIARY IN BOSNIA: NEC also plans to open a subsidiary and a branch office in Bosnia to be called NEWEUROPE™ Bosnia initially fully owned by NEC. Eventually NEWEUROPE Bosnia Subsidiary will have so additional partners form Bosnia and-or investors from UK or US owning up to 49% of it.
OPEN OFFICES IN CAPITAL OF BOSNIA, SARAJEVO: As soon as it is feasible, NEC plans to open NEWEUROPE™ Bosnia Subsidiary offices in Sarajevo, and a few other important cities-towns in Bosnia.
IDENTIFY THE FIRMS, PROJECTS & PRODUCTS IN BOSNIA: Together with the help coming from the management team of NEWEUROPE™ Bosnia subsidiary and by collecting information on private firms and their projects and plans in Bosnia via our NEC corporate Web site and Form located at http://www.neweuropecorp.com/firm_investors_form.htm that interested private companies will have to fill out, NEC and NEBF will identify the small-medium private firms and companies in Bosnia who need financial assistance the most and can produce good financial results or returns. Their projects and background on the firms will be included in NEBF Prospectus.
RAISE CAPITAL IN THE U.S.: NEBF in the U.S. will raise approximately $25-$50 million in the initial Phase I of capitalization of NEWEUROPE™ Bosnia Fund (NEBF). These U.S. investors will receive Common Shares in NEBF whose value on the U.S. market will depend on the success of investments made in Bosnia and trading of NEBF stock in the U.S. For Phase II NEBF will have another round of equity offering or private placements for $100 million+ to be invested in additional new private firms in Bosnia and as secondary financing to the Companies that already received funding from NEBF in Phase I. Phase III funding will bring in $150-$300 million of capital to such firms, if needed.
INVEST RAISED CAPITAL IN BOSNIAN COMPANIES DIRECTLY: NEBF in conjunction with recommendations from the NEWEUROPE™ Bosnia Subsidiary office will directly invest most of this raised capital (minus operations and some other management costs) as equity in a number of small to medium size firms and projects in Bosnia and especially those firms selling their products or services directly to the consumers in Bosnia. These equities may be backed by the firm’s operations, equipment, orders, exports and other assets. Typical NEWEUROPE™ Bosnia Fund equity ownership in projects or firms it will invest in will be 25%-80%.
INVEST DIRECTLY IN SMALL TO MEDIUM SIZE FIRMS ONLY: NEWEUROPE™ Bosnia Fund will not invest in very large privatized former socialist enterprises. NEBF will work directly with and invest directly in small to medium size businesses in Bosnia that need direct capital to recover from the past 10 years of economic and business stagnation and have an excellent financial capacity to grow.
THE NEC-USA INVESTMENTS IN BOSNIA WILL NOT BE LOANS: No pressures will be placed on the small business owners in Bosnia to pay back principals or interest. These will be all equity investments made by NEWEUROPE™ Bosnia in small-medium size private Bosnia companies varying from 20% to 80% ownership of each small-medium size company by NEC-USA and with similar percentage sharing of net profits. We believe in partnerships and not sometimes usury attitudes coming from sources of capital for Bosnia and in Eastern Europe. It is one way we want to contribute to the creation of a new and better NEWEUROPE™ Business Community in Bosnia and Eastern Europe!
NEWEUROPE BOSNIA CLUB: NEC will create a separate Web site for NEWEUROPE Club as well as for NEWEUROPE™ Club Bosnia in English and domestic language with associated emails operated and maintained by the staff in USA and Sarajevo. Regional NEWEUROPE™ Bosnia Clubs in other cities of Bosnia will be opened as well.
